Terms of Service

Please read these Terms carefully before using Holisar. These Terms form a binding legal agreement between you and Holisar Pvt. Ltd.
Important: By creating an account on Holisar, you confirm that you have read, understood, and agree to these Terms of Service and our Privacy Policy.

1. Acceptance of Terms
By accessing or using the Holisar platform (the "Service"), whether as a buyer, seller, or visitor, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you are registering on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, do not use the Service.
2. Eligibility
The Service is intended solely for persons aged 18 or older who are engaged in lawful commercial activities. By creating an account, you represent and warrant that: (a) you are at least 18 years old; (b) you are legally capable of entering into binding contracts under Nepal law; (c) you are not prohibited by any applicable law from accessing or using the Service; and (d) all registration information you provide is accurate, current, and complete.
3. Accounts & Registration
3.1 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify Holisar of any unauthorized use of your account.
3.2 Accurate Information
You must provide accurate business information during registration. Providing false information, including misrepresenting your business registration or VAT status, is grounds for immediate account suspension and may be reported to relevant authorities.
3.3 One Account Per Business
Each business entity may maintain one seller account. Operating multiple accounts to circumvent restrictions is prohibited.
4. Seller Obligations
4.1 Listing Accuracy
Sellers must ensure all product listings are accurate, complete, and not misleading. This includes correct pricing, product specifications, minimum order quantities, and lead times. Prices must be listed in Nepali Rupees (NPR).
4.2 Prohibited Items
Sellers may not list items that are illegal, counterfeit, hazardous (without proper certification), or that infringe any third-party intellectual property rights. Holisar reserves the right to remove any listing at its sole discretion.
4.3 Order Fulfillment
Once a buyer places and pays for an order, the seller is legally obligated to fulfill it as described in the listing. Failure to fulfill confirmed orders may result in account suspension, financial penalties, and dispute proceedings.
4.4 Taxes & Compliance
Sellers are solely responsible for collecting and remitting all applicable taxes (VAT, income tax) on their sales. Holisar provides a transaction record but does not act as a tax agent.
5. Buyer Obligations
5.1 Payment
Buyers must pay the full agreed amount using the payment method selected at checkout. Initiating chargebacks without first attempting resolution through Holisar's dispute center is a breach of these Terms.
5.2 Accurate Delivery Information
Buyers must provide accurate shipping addresses and contact information. Holisar and sellers are not responsible for non-delivery caused by incorrect addresses.
5.3 Commercial Use
The Service is designed for commercial procurement. Buyers represent that purchases are for business or resale purposes, not personal consumer use.
6. Payments & Fees
6.1 Transaction Fees
Holisar charges a platform commission on completed transactions. Current fee schedules are available in the Seller Center. Holisar reserves the right to change fees with 30 days' notice.
6.2 Escrow
For Trade Assurance orders, buyer payments are held in escrow until the buyer confirms receipt of goods or the escrow release period (72 hours after delivery) expires. Holisar is not a bank and does not earn interest on escrowed funds.
6.3 Refunds
Refund eligibility is determined by Holisar's Refund Policy and the outcome of any dispute resolution process. Refunds, when approved, are processed within 5–10 business days.
7. Prohibited Conduct
You agree not to: (a) use the Service for any unlawful purpose; (b) post false, inaccurate, or misleading content; (c) infringe any intellectual property rights; (d) transmit viruses or malicious code; (e) scrape, crawl, or copy platform data without permission; (f) circumvent any security measures; (g) use the platform to contact users for off-platform transactions to avoid fees; (h) harass, threaten, or intimidate any other user; (i) manipulate product reviews or ratings.
8. Intellectual Property
All content on the platform (excluding user-generated content) including logos, design, software, and text is the property of Holisar Pvt. Ltd. and protected by Nepali and international copyright law. User-generated content (product listings, reviews, images) remains the property of the user who created it, but by posting it, you grant Holisar a worldwide, non-exclusive, royalty-free license to use, display, and distribute such content for platform purposes.
9. Disputes Between Users
Holisar provides a dispute resolution mechanism accessible from any order page. We encourage buyers and sellers to resolve disputes amicably first. When Holisar mediates, both parties agree to provide requested documentation and to accept Holisar's decision as binding for amounts up to NPR 1,00,000. For larger disputes, Holisar may refer parties to arbitration under the Nepal Arbitration Act.
10. Limitation of Liability
Holisar is a marketplace facilitator, not a party to transactions between buyers and sellers. To the maximum extent permitted by law, Holisar's aggregate liability to any user for any claim arising from use of the Service shall not exceed the total fees paid by that user to Holisar in the 3 months preceding the claim. Holisar shall not be liable for indirect, incidental, special, or consequential damages, including loss of profits or business opportunities.
11. Termination
Holisar reserves the right to suspend or terminate any account at any time for breach of these Terms, fraudulent activity, or any reason deemed necessary to protect the community. Upon termination, your right to use the Service ceases immediately. Outstanding obligations (including pending orders and payment settlements) survive termination.
12. Governing Law & Jurisdiction
These Terms are governed by the laws of Nepal. Any legal proceedings arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Kathmandu District, Bagmati Province, Nepal.
13. Changes to Terms
Holisar may update these Terms from time to time. We will notify registered users of material changes at least 14 days before they take effect via email or platform notification. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
